PART 1 - LEGAL BUSINESS FORM

J&B Incorporated (J&B) was incorporated under the Ohio Companies Act on the 29 day of September, 200V and the letters patent bearing that date have been issued. The Company is to carry on business as a retailer of information, instructional aids, and acquired knowledge with respect to business training. The location of the registered office of the company is currently P.O. Box 1101, Your-Town, Ohio - 78787.

Managed by a Board of Directors, appointed by its shareholders, the Company's financial results will be reviewed by an internal accountant and approved by an external auditor, and presented to the Board of Directors Annually.

At present, J&B is managed by John P. Smith and Barry J. Beck. Both parties have played an instrumental role in the development of corporate strategies, structuring the organization, and in preparing the financial forecasts.
